Forms Sunset Indemnification


INDEMNIFICATION AND RELEASE OF ALL CLAIMS AGREEMENT

THIS INDEMNIFICATION AND RELEASE OF ALL CLAIMS AGREEMENT (“Agreement”) is made and entered into as of the date below by   (“User”) and YES MLS Inc., dba MLS Now, an Ohio corporation (“MLS Now”).

WHEREAS, MLS Now has historically developed with counsel and circulated certain real estate transactional documents and forms for use by its members; and

WHEREAS, MLS Now will no longer maintain or offer forms to its members effective December 17, 2025; and

WHEREAS, User wishes to use MLS Now forms after they are formally discontinued.

NOW, THEREFORE, for good and valuable consideration (and no monetary compensation), the receipt and sufficiency of which are hereby acknowledged, the parties hereby agree as follows:

  1. Commencing on the date of User’s signature below, User shall be provided with electronic copies of MLS Now’s current forms. User shall thereafter be solely and exclusively responsible for its future use of any and all MLS Now forms, including those previously circulated by MLS Now at any time.
  2. User understands and agrees that MLS Now makes no representations or guarantees as to the legal content, adequacy, suitability, or use of any of its past or current forms for any particular purpose. User agrees to accept all risk associated with User’s future use of any MLS Now forms.  User further agrees that before using any MLS Now forms, User shall consult with User’s independent legal counsel to ensure that they are appropriate for User’s intended use. 
  3. User hereby fully and forever releases and discharges MLS Now, its successors, predecessors, shareholders, officers, directors, employees, attorneys, insurers and agents, from and against any and all claims, demands, actions, causes of action, judgments, claims for relief of any kind or description whatsoever, whether arising out of contract, tort or otherwise, in law or in equity, whether public, private or administrative, which they now have, have had or may hereafter have arising from, connected with or in any way relating to and/or associated with MLS Now forms.
  4. User shall indemnify and hold harmless MLS Now from any and all liability, claims, loss, damages, causes of action (whether in tort or contract, law or equity, or otherwise), expenses, charges, assessments, fines and penalties of any kind, including, without limitation, reasonable attorney fees, expert witness fees and costs, relating to or arising from use of any MLS Now forms by User and by any person or entity to whom or to which User relays the forms.  If MLS Now is made a party defendant or a cross-defendant to any action involving the forms or this Agreement, User shall hold harmless and indemnify MLS Now from all liability or claims of liability, including all damages, attorney fees and costs of suit.
  5. This Agreement shall be construed in accordance with and governed by the laws of the State of Ohio, without regard to conflict of laws principles.  The parties agree that any dispute or controversy arising between the parties relating to or in connection with this Agreement shall be submitted to and heard by a state or federal court located in Cuyahoga County, Ohio, and all objections to personal jurisdiction and venue in any action, suit or proceeding so commenced are hereby expressly waived by all parties hereto. 
  6. This Agreement may be executed in multiple counterparts, each of which when so executed shall be deemed to be an original and all of which taken together shall constitute one and the same agreement.  Delivery by facsimile or by electronic transmission in portable document format (PDF) of an executed counterpart of this Agreement is as effective as delivery of an originally executed counterpart of this Agreement.
  7. This Agreement constitutes the complete understanding of the parties about the subject matter hereof, and supersedes all other discussions, agreements and understandings, whether oral or written, between the parties. Each of the parties has carefully read and understands this Agreement, has entered into it with the opportunity to have discussed this Agreement with counsel, and executed this Agreement with the intent to be legally bound.
